Terms of Service

2.3 Service Evolution

Our Services are continuously evolving. We may add, modify, or discontinue features with reasonable notice to customers.

3. Account Registration and Eligibility

3.1 Account Creation

To use our Services, you must:

  • Create an account with accurate information
  • Be authorized to bind your organization
  • Be at least 18 years old
  • Comply with all applicable laws and regulations

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access
  • Using strong authentication methods we provide or require

3.3 Prohibited Users

Our Services are not available to:

  • Individuals or entities in sanctioned countries
  • Organizations engaging in illegal activities
  • Competitors seeking to reverse engineer our platform
  • Users who have previously violated our Terms

4. Acceptable Use

4.2 Prohibited Activities

You may not:

  • Use our Services for illegal purposes
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our Services
  • Reverse engineer, decompile, or create derivative works
  • Use our Services to compete with us
  • Violate any applicable laws or regulations
  • Process data in violation of privacy laws
  • Share access credentials with unauthorized parties

4.3 Compliance Responsibility

While our Services help with compliance, you remain responsible for:

  • Ensuring your AI agents comply with applicable regulations
  • Implementing appropriate risk management practices
  • Meeting all regulatory requirements in your jurisdiction
  • Validating the accuracy of compliance reports

5. Data and Privacy

5.1 Customer Data

You retain ownership of all data you input into our Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide our Services.

5.2 Data Processing Agreement

For customers subject to GDPR or other data protection laws, our Data Processing Agreement (DPA) supplements these Terms and governs our processing of personal data.

5.3 Data Security

We implement appropriate technical and organizational measures to protect Customer Data, but you remain responsible for:

  • Ensuring you have rights to share data with us
  • Implementing appropriate access controls
  • Classifying and handling sensitive data appropriately

5.4 Data Portability

Upon reasonable request and subject to technical limitations, we will assist you in exporting your Customer Data in a commonly used format.

6. Payment Terms

6.1 Fees and Billing

  • Fees are as specified in your order form or subscription plan
  • Payments are due in advance unless otherwise agreed
  • We may increase fees with 30 days' written notice
  • All fees are non-refundable unless otherwise specified

6.2 Payment Methods

We accept payment via:

  • Credit card (processed through Stripe)
  • Bank transfer (for enterprise customers)
  • Other methods as mutually agreed

6.3 Late Payment

Late payments may result in:

  • Service suspension after 30 days
  • Interest charges at 1.5% per month
  • Collection costs and legal fees

6.4 Taxes

You are responsible for all applicable taxes, duties, and governmental fees, except for taxes based on our net income.

7. Intellectual Property

7.1 Our Rights

We retain all rights to:

  • Our platform software and technology
  • Documentation and training materials
  • Trademarks, trade names, and logos
  • Improvements and enhancements to our Services

7.2 Customer Rights

You retain all rights to your Customer Data and any intellectual property you owned before using our Services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide become our property and may be used without restriction or compensation.

7.4 Third-Party Rights

Our Services may include third-party software or content. Such materials are governed by their respective licenses.

8. Service Level Agreement

8.1 Availability

We strive to maintain 99.9% uptime for our Services, excluding:

  • Scheduled maintenance (with reasonable notice)
  • Force majeure events
  • Issues caused by your actions or third-party services

8.2 Support

We provide:

  • Online documentation and resources
  • Email support during business hours
  • Priority support for enterprise customers
  • Emergency support for critical compliance issues

8.3 Service Credits

For sustained outages exceeding our SLA commitments, we may provide service credits as outlined in your specific agreement.

9. Compliance and Regulatory Matters

9.1 Regulatory Environment

Our Services are designed to support compliance with financial services regulations, including but not limited to:

  • SR 11-7 model risk management
  • Fair Lending Act requirements
  • GDPR automated decision-making provisions
  • OCC third-party risk management guidelines

9.2 Regulatory Changes

We will use reasonable efforts to update our Services for regulatory changes, but cannot guarantee compliance with all future requirements.

9.3 Audit Cooperation

We will reasonably cooperate with regulatory examinations of our customers, subject to appropriate confidentiality protections.

9.4 No Legal Advice

Our Services provide tools and information but do not constitute legal or compliance advice. You should consult qualified professionals for specific guidance.

10. Disclaimers and Limitations

10.1 Service Disclaimers

Our Services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy or completeness of compliance analysis
  • Uninterrupted or error-free operation

10.2 Limitation of Liability

To the maximum extent permitted by law, our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

We are not liable for:

  • Indirect, consequential, or punitive damages
  • Lost profits, data, or business opportunities
  • Regulatory fines or penalties
  • Third-party claims or actions

10.3 Customer Responsibilities

You acknowledge that:

  • AI governance requires human oversight and judgment
  • Our Services supplement but do not replace your compliance obligations
  • You remain responsible for all regulatory compliance
  • Technology cannot eliminate all risks

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your infringement of third-party rights
  • Your violation of applicable laws
  • Your Customer Data or AI agent activities

12. Term and Termination

12.1 Term

These Terms remain in effect until terminated by either party.

12.2 Termination for Convenience

Either party may terminate with 30 days' written notice.

12.3 Termination for Cause

We may terminate immediately if you:

  • Breach these Terms materially
  • Fail to pay fees when due
  • Engage in prohibited activities
  • Become insolvent or cease operations

12.4 Effect of Termination

Upon termination:

  • Your access to Services will cease
  • Outstanding fees become immediately due
  • We will delete your Customer Data per our retention policy
  • Provisions that should survive will remain in effect

13. Enterprise Agreements

If you have a separate written agreement with us, that agreement takes precedence over these Terms to the extent of any conflict.

13.2 Governing Terms

In the absence of a separate agreement, these Terms govern your use of our Services.

14. General Provisions
