3. Account Registration and Eligibility

4.3 Compliance Responsibility

While our Services help with compliance, you remain responsible for:

  • Implementing appropriate risk management practices
  • Meeting all regulatory requirements in your jurisdiction
  • Validating the accuracy of compliance reports

5. Data and Privacy

5.1 Customer Data

You retain ownership of all data you input into our Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide our Services.

5.2 Data Processing Agreement

For customers subject to GDPR or other data protection laws, our Data Processing Agreement (DPA) supplements these Terms and governs our processing of personal data.

5.3 Data Security

We implement appropriate technical and organizational measures to protect Customer Data, but you remain responsible for:

6. Payment Terms

6.3 Late Payment

Late payments may result in:

  • Service suspension after 30 days
  • Interest charges at 1.5% per month

7. Intellectual Property

8. Service Level Agreement

  • Email support during business hours
  • Priority support for enterprise customers
  • Emergency support for critical compliance issues

8.3 Service Credits

For sustained outages exceeding our SLA commitments, we may provide service credits as outlined in your specific agreement.

9. Compliance and Regulatory Matters

9.1 Regulatory Environment

Our Services are designed to support compliance with financial services regulations, including but not limited to:

  • SR 11-7 model risk management
  • Fair Lending Act requirements
  • GDPR automated decision-making provisions
  • OCC third-party risk management guidelines

9.2 Regulatory Changes

We will use reasonable efforts to update our Services for regulatory changes, but cannot guarantee compliance with all future requirements.

9.3 Audit Cooperation

We will reasonably cooperate with regulatory examinations of our customers, subject to appropriate confidentiality protections.

9.4 No Legal Advice

Our Services provide tools and information but do not constitute legal or compliance advice. You should consult qualified professionals for specific guidance.

10. Disclaimers and Limitations

10.1 Service Disclaimers

Our Services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including:

  • Merchantability and fitness for a particular purpose

  • Accuracy or completeness of compliance analysis

To the maximum extent permitted by law, our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

12. Term and Termination

Upon termination:

  • Outstanding fees become immediately due
  • We will delete your Customer Data per our retention policy
  • Provisions that should survive will remain in effect

If you have a separate written agreement with us, that agreement takes precedence over these Terms to the extent of any conflict.

In the absence of a separate agreement, these Terms govern your use of our Services.
